Welcome to allWomen.africa. By registering an account, subscribing to a membership tier, or utilizing our marketplace and financial interfaces, you agree to be bound by these Terms and Conditions. These Terms constitute a binding legal agreement between you, allWomen Connect (Pvt) Ltd (the Technology Platform Provider), and Uxpress Savings and Credit Co-operative Society Limited (the Regulated Financial Institution).
1. Legal & Regulatory Framework
1.1 The Technology Interface
The digital interfaces, websites, mobile applications, and network infrastructures located at allWomen.africa and related subdomains are owned and operated by allWomen Connect (Pvt) Ltd. This platform provides the software infrastructure, e-commerce venue, and community networking applications for its users.
1.2 The Regulated Financial Backbone
allWomen.africa is not a bank, micro-finance company, or independent deposit-taking entity.
· All financial accounts, deposits, withdrawals, credit allocations, group savings mechanisms, and financial transaction processing are exclusively underwritten, managed, and legally held by Uxpress Savings and Credit Co-operative Society Limited (the "SACCO").
· Uxpress SACCO is a registered co-operative society operating under the Co-operative Societies Act [Chapter 24:05] of Zimbabwe, with its registered headquarters located at 147 Crystal Hope, Goodhope, Westgate, Harare.
· Pursuant to Section 4(k) of the SACCO By-laws, allWomen.africa™ is officially adopted as the fully-fledged electronic banking, transaction, and registration system of the Uxpress SACCO.
2. Membership Status & Account Classifications
By creating an account on the Platform, your level of access and legal relationship with the SACCO is governed by your selected tier:
2.1 General Platform User (Non-Member)
Users who register for basic access can utilize the social networking, media consumption, and general directory features. Basic registration does not constitute SACCO membership. However, pursuant to Section 7 of the By-laws, the SACCO may accept non-member deposits within limits fixed by the general meeting.
2.2 Cooperator Account (Full SACCO Membership)
· Application and Acceptance: Activating a Cooperator Account constitutes an official online application for membership in Uxpress SACCO. Upon approval, your details are entered into the electronic register of members within the allWomen.africa™ system.
· Annual Subscription & Fees: To maintain active status, Cooperator Account holders pay an annual subscription of US$60. In accordance with Section 9 and Section 10 of the By-laws, this fee covers your annual entrance fee of US$0.05 and your mandatory minimum shareholding of 1 share valued at US$0.05, with the remaining balance allocated to platform administration, NetOne mobile data bundles, and ecosystem services.
· The Savings & Deposit Mechanism: The Cooperator Account functions as a normal deposit-taking account. Deposits are safely held by the SACCO and structured into Cooperative Development Investments (CDEs) or internal Unit Trusts, earning dividends or interest as determined by the annual general meeting, up to a maximum rate of 80% per annum.
· Credit and Marketplace Access: Active Cooperator status grants members collective purchasing power, allowing them to utilize SACCO-backed credit (including Buy Now! Pay Later! programs) to buy goods, services, and vouchers directly within the online uXpress Marketplace.
2.3 Merchant Cooperator Account
· Annual Fees: Designed for businesses and MSMEs, requiring an annual commercial subscription of US$120.
· Commercial Privileges: Merchants are permitted to maintain an online store account, post shop pages, run promotional advertisements, and bid on listed government subcontracts or tender pathways.
· AI Business Agent: Merchant tiers include access to an automated, intelligent AI business agent. While the SACCO and Platform provide this tool to streamline customer service, inventory tracking, and daily operations, the business owner remains solely responsible for the final execution of contracts and trades generated through the AI interface.
3. Financial Transaction Rules & Collective Operations
3.1 Trust and Deposits
Members may deposit and withdraw funds, make transfers to external bank accounts, or pay bills through electronic means (including eWallets, Bank Cards, and Internet Banking) integrated into allWomen.africa™.
3.2 The Mukando Platform (Group Savings)
Funds pooled by members via traditional or digital savings circles (Mukando) are legally held in trust by Uxpress SACCO. Capital pooled into internal investment funds or money markets is managed strictly under the authority of the SACCO Management Committee.
3.3 Group Purchasing Discount
The SACCO utilizes its grouped consumer purchasing power to negotiate wholesale discounts with third-party service and product providers. Any group discounts earned by a member may be applied directly toward servicing internal member obligations, including loan repayments, monthly administration fees, or tailored micro-insurance products.
3.4 Lien on Shares and Deposits
Pursuant to Section 10(f) of the By-laws, the Society maintains a legal lien on all shares, CDEs, and deposits of a member for any sum due to the SACCO or for any loan guaranteed by that member. The SACCO reserves the right to apply these funds directly toward the recovery or settlement of any unpaid debts or defaults.
4. Member Governance, Resignation, and Termination
4.1 Meeting Attendance and Voting
Full Cooperators hold the right to attend and vote at general meetings, which may be conducted physically or virtually on software platforms dictated by the Management Committee. Voting is strictly one member, one vote; proxy voting is not permitted.
4.2 Resignation and Account Closure
A member may resign from the platform and the SACCO at any time by giving 3 (three) months' written notice through the allWomen.africa™ portal. Upon resignation, all outstanding debts owed by the member to the society become immediately due and payable. Safely held deposits and share values will be paid out within three months from the termination date.
4.3 Suspension and Expulsion
The SACCO Management Committee reserves the right to suspend or initiate expulsion procedures against any member for disloyalty, fraudulent platform use, failure to settle court-judgment debts, or any actions that defeat or hinder the cooperative objects of the society. Expelled individuals forfeit all rights to share in the profits or community benefits of the platform.
5. Liability Disclaimers and Indemnity
5.1 Marketplace Transactions
allWomen.africa provides the digital venue (uXpress Marketplace) and payment processing pipeline. The actual contract for sale is strictly between the Merchant Cooperator and the buyer. The Platform and the SACCO explicitly disclaim liability for merchant product quality, delivery delays, or third-party courier performance.
5.2 Regulatory Shield
By utilizing these services, you acknowledge that your financial protections and account rights are legally governed by the Co-operative Societies Act of Zimbabwe. Any disputes, claims, or arbitration arising from financial services must be directed through the cooperative resolution mechanisms outlined in Chapter 3 of the SACCO By-laws and the Act before seeking external litigation.
